NexusGuard Terms of Service and Deployment Data Notice

Effective 30 October 2026

These Terms govern NexusGuard software, licence verification and software updates supplied by Arventiq Labs LLP (Arventiq). The institution, business or other organisation deploying NexusGuard is the Customer. The person accepting must be an adult authorised to bind that Customer. Do not accept on behalf of an organisation without that authority. A student's or other device user's acknowledgement is not a substitute for the Customer's authorisation or any notice, consent or other lawful basis required from affected people.

1. Your agreement and the scope of the service

Read these Terms and the Deployment Data Notice in section 5 before accepting. Selecting the unchecked acceptance and authority confirmations, identifying yourself and submitting acceptance records an electronic agreement for the identified Customer, licence and Admin installation. Installation, an earlier activation or silence does not count as acceptance of this version. Access to licensed NexusGuard functions requires acceptance of the current version and a valid subscription. If you decline, do not continue using those functions; preserve your records and use the ordinary unpairing or uninstallation procedures. Contact Arventiq about any paid subscription options and statutory rights.

These product Terms take priority over general website terms for NexusGuard use. A separate agreement signed by both parties controls matters it expressly changes. An order or invoice specifies the purchased plan, term, device limits and commercial charges; these Terms do not create an automatic renewal authorisation or a payment mandate. Mandatory legal rights always prevail.

2. How NexusGuard works

The Customer installs an Admin application on its authorised teacher or administrator computer and pairs Agent applications on computers it owns or is authorised to manage. The Admin provides a local browser dashboard and communicates with paired Agents over the Customer's network. The Customer's authorised operators choose the targets, settings, schedules and commands.

Depending on the installed operating system, version, permissions and enabled features, the Admin can receive device presence, host and user identifiers, hardware and software information, performance and disk information, process or application information, screenshots and screen history, attendance and quiz responses, and files or file metadata. It can request screen sharing, file transfer, collection, scanning, quarantine or deletion, exam restrictions, application or website restrictions, screen locks, messages, audio settings and power operations. Monitoring or scheduled tasks started by an operator can continue until stopped or until their configured conditions end. Not every feature is available on every operating system.

In normal product operation, these commands and operational records pass between the Customer's Admin and paired Agents. Records may be stored on those computers or exported by the Customer. NexusGuard is not a cloud classroom surveillance service operated by Arventiq. The Admin must contact Arventiq's licensing service for subscription verification. In versions supporting Admin-controlled updates, the Admin checks for a release, approves it and distributes it to its paired devices. Older versions may use their existing automatic update-check behaviour until migrated.

3. Arventiq does not operate or monitor your computers

Arventiq supplies the software and the disclosed licence and update services. It does not, through normal NexusGuard operation, view Agent screens, inspect Customer files, watch students or staff, select classroom targets, issue Customer operational commands, or manage the Customer's Admin or Agent computers. The ordinary licence and update services do not receive screenshots, classroom files, attendance or quiz answers, screen recordings, process inventories or other classroom monitoring content.

Accepting these Terms does not give Arventiq permission to log into, remotely control or continuously monitor a Customer computer. Troubleshooting information or content that the Customer voluntarily sends to support will be received by Arventiq. Any separately requested remote support or managed service requires a separate, express authorisation describing its access and purpose; it is not included by accepting these Terms. Do not send passwords, private signing keys, unnecessary personal data or unrelated files in a support report.

4. Customer responsibility and authorised use

The Customer is solely responsible for its deployment scope, monitoring decisions, operator instructions, permissions, configuration, data handling and the acts or omissions of its administrators and users, and for consequences attributable to those decisions or actions. The Customer must verify its authority over every device, account and person affected before installation, pairing, monitoring, restriction, file access or remote control.

The Customer must give understandable advance notices and obtain all consents, approvals or other lawful bases required by applicable privacy, information technology, education, employment, child-protection and other laws as they apply and take effect. The Customer must address parental or guardian requirements where applicable. This software agreement does not itself provide consent from students, staff, parents, visitors or other data subjects, and does not authorise covert or unlawful surveillance.

Only authorised personnel may operate the Admin. The Customer must protect the Admin account, physical access, licence key, pairing codes, local files, exports and backups; limit access; review commands and target selections; revoke access when people leave; and investigate suspected misuse. Arventiq does not approve, supervise or audit those operational choices. Unless a separate signed service agreement expressly says otherwise, it has no duty to monitor Customer activity, detect each instance of misuse or intervene in a classroom or network incident.

5. Deployment Data Notice: what reaches Arventiq

Licence administration processes the subscription key, institution and subscription details and contact information supplied for the licence. Verification requests include a locally derived hashed Admin device identifier, a request nonce and client version. The current licence service records the device identifier, connecting IP address and first/last verification times. Infrastructure and download services can also generate ordinary request and security logs, including IP address, time, user agent and requested resource. A hashed device identifier is still potentially linkable data; it is not described as anonymous.

Terms acceptance additionally records the licence reference, Admin device identifier, exact Terms version and document hash, server acceptance time, declared representative name, role and email, acceptance and authority declarations, connecting IP address, user agent and supplied client version. Short-lived acceptance challenges protect the acceptance flow. Possession of a licence key and a declaration of authority are recorded; Arventiq does not represent that these alone independently verify a representative's employment or identity.

These limited records are used to administer subscriptions, prevent misuse of licences, deliver and secure downloads, maintain the acceptance record, support the service and meet applicable legal obligations. They are distinct from Customer classroom content. Arventiq uses its infrastructure providers, including Supabase and the website/download hosting providers, for these services; provider processing locations and terms may apply. Network and browser services independently used by the Customer, and third-party resources used by older application versions, can create their own request logs.

Records are retained for the licence, security, contractual and legal purposes for which they are necessary, subject to applicable retention duties and deletion review. Contact [email protected] for questions, correction or deletion requests concerning Arventiq's records, and see https://arventiqlabs.com/privacy and https://arventiqlabs.com/grievance. Requests about classroom monitoring content held by the Customer should be directed to that Customer. Accepting the service Terms is not a blanket waiver of privacy rights or a substitute for a legally required personal-data consent.

6. Local data, network protection and operational precautions

The Customer controls access, retention, disclosure and deletion of its operational data and must maintain suitable backups and recovery procedures. It must secure shared computers, local browser sessions, storage, exports and the network. Pairing does not make a shared or hostile network safe. Current local Admin/Agent connections use local HTTP/WebSocket communication and are not represented as end-to-end encrypted by NexusGuard. Use appropriate network segregation and other approved protection; do not expose the Agent hub directly to the public internet.

File deletion, quarantine, restrictions, shutdowns, restarts, updates and other administrative operations can interrupt work or change data and settings. Confirm the selected devices and paths, obtain permission, test changes and back up important work before acting. Recovery of deleted or unsaved information is not guaranteed. Operating system permissions, security software and network policy can prevent features from working; do not disable broad security protections merely to use NexusGuard.

The Customer must review monitoring output and automated results with human judgement. NexusGuard reports are not conclusive proof of misconduct and must not be the sole basis for disciplinary, employment, academic or other significant decisions. The software is not an emergency, life-safety or certified forensic system and does not guarantee prevention of cheating, cyberattacks, data loss or every unauthorised action.

7. Licence, subscription and updates

Subject to these Terms and the purchased plan, Arventiq grants the Customer a limited, non-exclusive, non-transferable right to use the supplied software for its authorised internal deployment during the subscription. Licence keys are issued by Arventiq; the Customer must respect the purchased term and device limits and must not share keys outside the authorised deployment, resell access, bypass activation, forge acceptance records or interfere with licence, signature or update verification.

Ongoing online verification is required. Expiry, revocation, failure to verify, or an outstanding current Terms acceptance can lock licensed functions and prevent Agent sessions from continuing. Do not depend on uninterrupted availability of these functions for safety-critical work. Revalidate or contact support; do not alter a local cache or system date to claim entitlement.

Updates may correct defects or change supported behaviour. The Customer is responsible for approving updates where the installed version provides approval controls, scheduling a suitable maintenance period, piloting changes and checking the versions running on its devices. Publishing a signed update does not promise acceptance by every operating system, antivirus product or institutional policy. A subscription does not include unlimited bespoke development, on-site operation or continuous remote administration unless separately agreed.

8. Prohibited conduct

Do not deploy on devices you are not authorised to manage; secretly monitor people contrary to law or policy; access private accounts or unrelated personal files without authority; steal credentials; unlawfully intercept communications; harass, discriminate, retaliate or coerce; distribute malware or unlawful content; interfere with third-party systems; or use NexusGuard to conceal wrongdoing. Do not remove legally required notices or misrepresent Arventiq as the institution's monitoring operator. Respect third-party software, copyright and data rights. Restrictions on reverse engineering apply only to the extent permitted by law and do not remove non-waivable interoperability or other statutory rights.

9. Support and incident handling

Report suspected defects, unauthorised access or misuse promptly to the appropriate institutional administrator. Contact Arventiq at [email protected] for product support or security reporting, and supply only the information needed to investigate. Arventiq can provide reasonable product guidance within the purchased support scope but does not promise to recover every file, restore every setting or resolve an incident caused by the Customer or its environment. Any support response time or service-level commitment must be expressly agreed in writing.

10. Allocation of risk and liability

To the extent permitted by law, the Customer bears losses, claims and consequences caused by its unauthorised or unlawful use, inappropriate commands, missing notices or permissions, insecure configuration, compromised credentials, unprotected network, unsupported modification, failure to back up, or acts and omissions of its operators. Arventiq is not responsible for such Customer-caused consequences merely because NexusGuard was the tool used. Arventiq's role described in these Terms does not make it the operator or supervisor of Customer monitoring.

Except for express written commitments and mandatory legal guarantees, the software is supplied on an as-available basis without a promise of uninterrupted, error-free or universally compatible operation. To the extent legally permitted, Arventiq excludes indirect or consequential losses, loss of profits, business interruption and loss of data arising from use of the service. Its aggregate liability for claims relating to the affected subscription is limited to the fees actually paid for that subscription in the twelve months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for Arventiq's fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability, remedy or duty that applicable law does not allow to be excluded or limited. These Terms do not make the Customer responsible for Arventiq's own non-excludable wrongdoing, excuse unlawful processing, or remove mandatory consumer, privacy or other statutory rights. A limitation applies only to the extent lawful in the circumstances.

11. Customer indemnity for Customer-caused claims

To the extent permitted by law, the Customer will defend and indemnify Arventiq against third-party claims and legally recoverable, reasonable costs arising from the Customer's unlawful monitoring, unauthorised deployment, infringement of others' rights, failure to provide required notices or permissions, or material breach of these Terms, to the extent caused by the Customer or its operators. This does not cover a claim to the extent caused by Arventiq's own breach, negligence or misconduct. Arventiq must give prompt notice, allow reasonable participation in the defence and not agree to a settlement imposing an admission, payment or obligation on the Customer without its consent, not to be unreasonably withheld.

12. Intellectual property and Customer data

Arventiq and its licensors retain their rights in NexusGuard, its branding and software. The Customer retains its rights in its own data. These Terms do not grant Arventiq ownership of classroom data or a right to sell, publish or use that data for unrelated purposes. Third-party components remain subject to their own applicable licences. Feedback voluntarily supplied may be used to improve the product without disclosing confidential Customer information.

13. Suspension, termination and changes

Arventiq may suspend or terminate the licence for expiry, non-payment, a material breach, reasonably suspected unlawful use, a serious security risk or a legal requirement, subject to applicable law and any agreed notice or cure requirement. Where reasonably practicable it will explain the reason and allow an opportunity to resolve a remediable issue. The Customer may stop using the product and contact Arventiq about termination, refund or other rights under its order and applicable law. Local data must be preserved or deleted by the Customer as appropriate; licence termination is not authority for Arventiq to remotely erase Customer files.

Material revisions will have a new version and will be presented for fresh, explicit acceptance before further licensed use. Earlier installations will not be treated as having accepted a new version automatically. Declining keeps licensed functions unavailable without purporting to waive rights already accrued. Changes do not retroactively erase either party's liabilities.

14. Governing law, disputes and contact

Indian law governs these Terms. Subject to mandatory statutory forums and any separate valid agreement, courts at Bengaluru, Karnataka with competent jurisdiction will hear disputes. Nothing in these Terms absolutely bars legal proceedings, shortens a non-waivable statutory limitation period or prevents access to a competent consumer, data-protection or other statutory authority.

If a provision is invalid or unenforceable, it is limited or severed to that extent and the remaining lawful provisions continue. A failure to enforce a provision is not a permanent waiver. For questions, complaints, support or a copy of the accepted version, contact Arventiq Labs LLP at [email protected] or https://arventiqlabs.com/contact. Keep a copy of the Terms and the acceptance receipt for your records.
